1. Acceptance of Terms

These Terms of Use ("Terms") are a legal agreement between you and NTEK AI LLC, doing business as EasyCC ("EasyCC," "we," "our," or "us"). By downloading, installing, accessing, or using EasyCC (the "Application"), you agree to be bound by these Terms. If you do not agree to these Terms, do not use the Application.

You must be at least 18 years old to use EasyCC. By using the Application, you represent and warrant that you are at least 18 years of age and have the legal capacity to enter into these Terms.

2. Description of Service

EasyCC is a desktop application that provides a visual interface for AI coding agents, allowing users to automate tasks, analyze data, and create content using AI assistance. The Application runs locally on your computer and connects to an AI provider of your choosing — for example Anthropic (Claude), Amazon Bedrock, Google Vertex AI, Microsoft Foundry, or a custom gateway — using credentials you supply.

EasyCC is designed to make AI capabilities accessible to non-technical users by providing a user-friendly graphical interface.

3. Account & Requirements

To use EasyCC, you must:

  • Have valid credentials for at least one supported AI provider (for example, an Anthropic account, an Anthropic API key, or access to Bedrock, Vertex, Foundry, or a custom gateway)
  • Comply with the terms of service and acceptable use policies of whichever AI provider(s) you configure
  • Maintain the security of your provider credentials and not share them with others

You are responsible for all activities that occur using your provider credentials through EasyCC, including any fees or usage charges those providers may bill to you. EasyCC is not affiliated with any AI provider and does not provide AI model access or subscriptions.

4. License Grant

Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to download, install, and use EasyCC for your personal or internal business purposes.

You may NOT:

  • Copy, modify, or distribute the Application or any part of it
  • Reverse engineer, decompile, or disassemble the Application
  • Rent, lease, lend, sell, sublicense, or otherwise transfer the Application to any third party
  • Remove, alter, or obscure any proprietary notices on the Application
  • Use the Application to develop a competing product or service
  • Use the Application in any way that violates applicable laws or regulations

5. User Responsibilities & Acceptable Use

You agree to:

  • Use EasyCC in compliance with all applicable laws
  • Not use the Application for any illegal or harmful purposes
  • Not attempt to gain unauthorized access to any systems or networks
  • Not interfere with or disrupt the operation of the Application
  • Maintain the security of your AI provider credentials and not share them with others
  • Take responsibility for all outputs generated through your use of the Application
  • Not use the Application to generate content that is illegal, harmful, threatening, abusive, harassing, defamatory, or otherwise objectionable
  • Acknowledge that any external tools or connectors you add to EasyCC (for example, Model Context Protocol servers) will receive the content you direct to them, under the terms of whoever operates those tools

6. Intellectual Property

EasyCC and all related intellectual property rights are owned by NTEK AI LLC or its licensors. These Terms do not grant you any rights to our trademarks, logos, or other brand features.

You retain all rights to the files, documents, and content you create or process using EasyCC. We claim no ownership over your content.

7. Third-Party Services

EasyCC lets you connect to third-party AI providers and tools. Your use of any third-party service through EasyCC is subject to the terms and privacy policies of that service. Examples include:

We are not responsible for the availability, accuracy, or content of any third-party service, and your use of such services is at your own risk.

8. Disclaimers

THE APPLICATION IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

We do not warrant that the Application will be uninterrupted, error-free, or free of viruses or other harmful components. We make no guarantees about the accuracy, reliability, or quality of any AI-generated outputs.

AI Output Disclaimer: Content generated through EasyCC using an AI provider is produced by artificial intelligence. You are responsible for reviewing and verifying all AI-generated content before use. We are not responsible for any errors, inaccuracies, or consequences resulting from AI-generated content.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL NTEK AI LLC, ITS OFFICERS, DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, USE, OR GOODWILL, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE APPLICATION.

OUR TOTAL LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR YOUR USE OF THE APPLICATION SHALL NOT EXCEED THE AMOUNT YOU PAID TO US FOR THE APPLICATION IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR ONE HUNDRED DOLLARS ($100), WHICHEVER IS GREATER.

Data Loss: EasyCC processes files locally on your device. We are not responsible for any data loss, file corruption, or system issues that may occur during use of the Application. You are responsible for maintaining backups of your important files.

10. Indemnification

You agree to indemnify, defend, and hold harmless NTEK AI LLC and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or in any way connected with your use of the Application, your violation of these Terms, or your violation of any third-party rights.

11. Termination

We may terminate or suspend your access to EasyCC at any time, without prior notice or liability, for any reason, including if you breach these Terms.

You may stop using EasyCC at any time by uninstalling the Application from your device.

Upon termination, the following sections shall survive: Intellectual Property, Disclaimers, Limitation of Liability, Indemnification, and Governing Law.

12. Governing Law & Disputes

These Terms shall be governed by and construed in accordance with the laws of the State of Colorado, without regard to its conflict of law provisions.

Any disputes arising out of or relating to these Terms or your use of EasyCC shall be resolved exclusively in the state or federal courts located in Denver, Colorado, and you consent to the personal jurisdiction of such courts.

13. Changes to Terms

We reserve the right to modify these Terms at any time. When we make significant changes, we will notify you by email, by posting a notice on our website, or by displaying a notice inside the Application. We may also ask you to acknowledge the updated Terms before continuing to use certain features. Your continued use of EasyCC after such changes constitutes your acceptance of the updated Terms.
